本合同由買(mǎi)賣(mài)雙方根據(jù)下列條款和條件，經(jīng)買(mǎi)賣(mài)雙方共同協(xié)商簽訂，以便共同遵守：

This contract is made by and between the Buyers and the sellers; whereby the Buyers agree to buy and the Sellers agree to sell the under-mentioned commodity according to the terms and conditions stipulated below:

3.?以堅(jiān)固紙箱裝，適合遠(yuǎn)程航空／陸地運(yùn)輸及氣候變化并妥善防潮防震，包裝內(nèi)每套儀器或機(jī)械附有一整套使用說(shuō)明書(shū)。因包裝不良造成貨物殘損及因包裝防護(hù)設(shè)備不當(dāng)，不周，招致貨物發(fā)生銹蝕，均由賣(mài)方承擔(dān)責(zé)任。

To be packed in strong carton(s). Suitable for long distance air freight/land transportation and the change of climate well protected against moisture and shocks. ?One full set of oprating instructions for each instrument or machine shall be enclosed in the Package(s). The Sellers shall be liable for any damage of the commodity and expenses incident thereto on account of improper packing and for any rust attributable to inadequately or improperly protective measures taken by the Sellers in regard to the packing.

4.?裝運(yùn)嘜頭SHIPPING MARK:

賣(mài)方應(yīng)在每件貨物的包裝外表上以不褪色的顏料刷明件號(hào)、毛重、凈重、尺碼及下列字句：?“勿近潮濕”“小心輕放”“此邊向上”，等及下列嘜頭：

The Sellers shall mark on each package with fadeless paint the package number, gross weight, net weight, measurement and the wordings:“keep away from moisture ”,“handle with care”,“this side up ”etc; and

All banking charges inside China shall be borne by the Buyer while those outside China by the Seller.

所有國(guó)內(nèi)銀行費(fèi)用由買(mǎi)方承擔(dān)，國(guó)外銀行費(fèi)用由賣(mài)方承擔(dān)。

9.?文件DOCUMENTS：

1)?One original Airway Bill marked “Freight Prepaid” indicating contract No., name of commodity, and the notify party is the buyer. 一份注明運(yùn)費(fèi)已付的航空正本運(yùn)單,顯示合同號(hào)、貨物名稱，通知人為買(mǎi)方。

2)?Manually signed invoice in 3 original(s) indicating Contract number made out in details as per the relative Contract. 注明合同號(hào)和貨物明細(xì)的商業(yè)發(fā)票正本一式三份。

3)?Packing list in 3 original(s) with indication of gross and net weights, measurements and quantity of each item packed, type of outer packing, packing quantity and packing material.?注明毛、凈重、尺碼和所裝貨物每項(xiàng)的品名數(shù)量，外包裝物類(lèi)型，包裝數(shù)量，包裝材質(zhì)的裝箱單正本一式三份。

4)?One set (included in 1 original and 1 copy) of Insurance Certificate. 全套（一正一副）保險(xiǎn)單。

5)?Certificate of Quality issued by the Seller in one original. 賣(mài)方簽署的質(zhì)量證明書(shū)正本一份。

6)?Certificate of Origin in 1 original and 2 copies.商品原產(chǎn)地證明之正本一份副本兩份。

7)?Non-Wooden Packing Declaration in 1 original for the non-wooden packing material or Seller’s Certification certifying that the package(s) has/have been labeled with IPPC mark. 采用非木質(zhì)包裝材料時(shí)提供非木質(zhì)包裝聲明一份，或采用木質(zhì)包裝材料時(shí)提供書(shū)面聲明確認(rèn)木質(zhì)包裝上已有IPPC標(biāo)識(shí)。

The seller shall send full set of above-mentioned documents to the buyer in one lot by Air Courier within 2 days after shipment.賣(mài)方應(yīng)貨物發(fā)運(yùn)后兩日內(nèi)，將上述全套單證用快件寄給買(mǎi)方。

10.?裝運(yùn)通知?SHIPPING ADVICE:

貨物全部裝運(yùn)后,賣(mài)方應(yīng)立即將合同編號(hào)、商品名稱、數(shù)量、毛重、發(fā)票金額、航班號(hào)和起航日期傳真通知買(mǎi)方。

Immediately the goods are completely loaded, the Sellers shall fax to notify the Buyers of the contract number, name of commodity, quantity, gross weight, invoiced value, flight number and the flight date.

11.?品質(zhì)保證GUARANTEE OF QUALITY:

賣(mài)方應(yīng)保證設(shè)備是用最好的材料制成的，采用最新的制造工藝，設(shè)備是全新未使用過(guò)的，并符合本合同及附件規(guī)定的各個(gè)方面，如質(zhì)量、技術(shù)要求和性能。保修期自貨物到達(dá)目的港，并經(jīng)驗(yàn)收合格起12個(gè)月內(nèi)，但最遲不超過(guò)貨物到達(dá)目的港之日起14個(gè)月。

The Sellers guarantee that the commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in this Contract and conforms to the data sheets or technical manuals of the commodities contract.

The guarantee period shall be 12 months counting from the date on which the commodity arrives at the port of destination, and counting from the date on which the Acceptance Certificate has been signed by the representatives of both parties if the installation and inspection for acceptance of the commodities contracted are required, but no later than 14 months counting from the date on which the commodity arrives at the port of destination.

12.?索賠CLAIMS:

在貨物達(dá)到目的港后90天內(nèi)，如發(fā)現(xiàn)貨物規(guī)格或數(shù)量與合同規(guī)定不相符（保險(xiǎn)公司或運(yùn)輸公司造成的除外），買(mǎi)方可依據(jù)中國(guó)商檢局的檢驗(yàn)證明提出索賠：更換新貨品，差額補(bǔ)償，或維修，所有費(fèi)用（如檢驗(yàn)費(fèi)、修理費(fèi)、貨物返航或貨物替換費(fèi)用、或修理費(fèi)、保險(xiǎn)、保存、裝載/卸載費(fèi)等）由賣(mài)方承擔(dān)。關(guān)于質(zhì)量問(wèn)題，賣(mài)方應(yīng)保證如在本合同第十二條規(guī)定的保質(zhì)期內(nèi)，發(fā)生由于質(zhì)量不好、工藝差或材料不好引起的損壞，買(mǎi)方應(yīng)立即書(shū)面通知賣(mài)方并依據(jù)中國(guó)出入境檢驗(yàn)檢疫局的檢驗(yàn)報(bào)告提出索賠。

檢驗(yàn)報(bào)告作為索賠證據(jù)。賣(mài)方應(yīng)根據(jù)買(mǎi)方的索賠負(fù)責(zé)解決貨物的缺損、完全或部分替換，或根據(jù)缺損情況將商品降價(jià)。如果必要，買(mǎi)方有權(quán)要求賣(mài)方承擔(dān)費(fèi)用自行解決問(wèn)題。如果賣(mài)方在接到買(mǎi)方的上述索賠要求后一個(gè)月內(nèi)沒(méi)有答復(fù)，將視為賣(mài)方接受此索賠要求。

Within 90 days after the arrival of the goods at destination, should the specification, or quantity be found not in conformity with the stipulations of the Contract except those claims for which the insurance company or the Carriers are liable, the Buyer shall, on the strength of the Inspection Certificate issued by Entry & Exit Inspection and Quarantine Bureau of China, have the right to claim for replacement with new goods, or for compensation or repair and all the expenses (such as inspection charges, repairing fee, freight for returning the goods and for sending the replacement, or the repaired goods, insurance premium, storage and loading and unloading charges etc.) shall be borne by the Sellers. As regards quality, the Sellers shall guarantee that if, within the guarantee period stipulated in Clause 11 of this Contract, damages occur in the course of operation by reason of inferior quality, bad workmanship or the use of inferior materials, the Buyers shall immediately notify the Sellers in writing and put forward a claim supported by Inspection Certificate issued by Entry & Exit Inspection and Quarantine Bureau of China.

The Certificate so issued shall be accepted as the base of a claim. The Sellers, in accordance with the Buyer’s claim shall be responsible for the immediate elimination of the defect(s), complete or partial replacement of the commodity or shall devaluate the commodity according to the state of defect(s). Where necessary, the Buyers shall be at liberty to eliminate the defect(s) themselves at the Sellers’ expense. If the Sellers fail to answer the Buyers within one month after receipt of the aforesaid claim, the claim shall be reckoned as having been accepted by the Sellers.

13.?不可抗力FORCE MAJEURE：

在制造、裝卸或運(yùn)輸過(guò)程中由于不可抗力因素導(dǎo)致延遲交貨，賣(mài)方不承擔(dān)責(zé)任。但賣(mài)方必須在事發(fā)后14天內(nèi)將上述事故的記載及買(mǎi)方可接受的當(dāng)?shù)卣鞴懿块T(mén)出示的有關(guān)偶然事故的證明通過(guò)航空快件發(fā)給買(mǎi)方，在這樣的處境下，賣(mài)方仍需盡力采取必要的措施保證盡快的供貨，如果事故持續(xù)超過(guò)10周，買(mǎi)方將有權(quán)撤消未發(fā)貨的訂單，或延遲交貨時(shí)間。

The Sellers shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, such as war, serious fire, flood, typhoon and earthquake, or other events agreed upon between both parties, which might occur during the process of manufacturing or in the course of loading or transit. The Sellers shall advise the Buyers immediately of the occurrence mentioned above and within fourteen days thereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof.

Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyers at its option may delete the undelivered goods from its purchase order or appropriately extend the time of delivery .

The Buyers shall not be held responsible for failure or delay to perform all or any part of this Contract due to Force Majeure.
