第一條五方合伙企業(yè)(營業(yè)執(zhí)照號)第二條e方應(yīng)在本協(xié)議生效之日退出合伙企業(yè)。該合伙企業(yè)以前由e方經(jīng)營和管理(公司名稱)產(chǎn)生的債務(wù),包括所欠各機構(gòu)的貸款和稅費,由E方承擔(dān)。此后,甲方、乙方和丙方因持續(xù)經(jīng)營管理而產(chǎn)生的債權(quán)、債務(wù)和應(yīng)納稅稅費與E方無關(guān)。
本協(xié)議生效后第三條甲方、乙方、丙方和丁方繼續(xù)經(jīng)營的,所有財產(chǎn)和債權(quán)歸甲方、乙方和丁方所有,甲方、乙方和丁方應(yīng)共同向e方支付人民幣元整的提取補償費
第4條簽署本協(xié)議時,e方將
所有許可證印章(包括營業(yè)執(zhí)照、網(wǎng)絡(luò)文化經(jīng)營許可證、安全審計許可證、消防許可證、健康許可證、印章等)應(yīng)移交給甲方、乙方、丙方和丁方第5條本協(xié)議生效后,e方應(yīng)負責(zé)立即開業(yè),并負責(zé)將承租人改為出租人,以便A、B、C和D四方繼續(xù)正常業(yè)務(wù)條6本協(xié)議生效后,所有許可證,包括營業(yè)執(zhí)照、網(wǎng)絡(luò)文化運營許可證、安全審計許可證、消防許可證和健康許可證,均由e方負責(zé),并以其名義變更為,由A方、B方、C方和D方繼續(xù)合伙經(jīng)營
第七條甲、乙、丙、丁三方在簽訂《營業(yè)執(zhí)照》、《網(wǎng)絡(luò)文化經(jīng)營許可證》、《安全審計許可證》、《消防許可證》、《健康保險許可證》時,應(yīng)向甲方支付人民幣元的退出補償費,并交由中間商保管至甲方經(jīng)甲、乙、丙、丁三方書面授權(quán)后,中間人方可將款項交付給e方。如果中間人未經(jīng)甲、乙、丙、丁三方事先書面授權(quán)向e方支付款項,則中間人應(yīng)負責(zé)將款項返還給甲方,乙方、丙方和丁方立即支付。若因中介機構(gòu)提前向甲方支付款項而導(dǎo)致甲方、乙方、丙方和丁方未能辦理許可證轉(zhuǎn)讓手續(xù),給甲方、乙方、丙方和丁方造成損失,則中介機構(gòu)還應(yīng)承擔(dān)賠償責(zé)任。本條款對中介機構(gòu)和交易后各方具有法律約束力中介機構(gòu)簽署本協(xié)議
第8條違約責(zé)任
1.如甲方、乙方、丙方、丁方未能及時將因甲方撤離而產(chǎn)生的賠償金交給中介機構(gòu)保管,則應(yīng)承擔(dān)相應(yīng)的賠償責(zé)任
2在退出合伙企業(yè)前,由e方經(jīng)營管理。產(chǎn)生的債務(wù)包括欠各機構(gòu)的貸款和稅費。如果e方未能償還,導(dǎo)致A、B、D、e方被迫支付該等資金,則e方應(yīng)向A、B、D方承擔(dān)賠償責(zé)任>3.如果e方未能遵守本協(xié)議,則應(yīng)提供所有許可證和印章(包括營業(yè)執(zhí)照、網(wǎng)絡(luò)文化運營許可證、安全審計許可證、消防許可證、健康許可證和印章等)應(yīng)移交給甲方、乙方、丙方和丁方保管,影響正常運營造成的所有損失應(yīng)由e方承擔(dān),e方應(yīng)向甲方、乙方、丙方和丁方支付每逾期一天元的違約金e network應(yīng)承擔(dān)賠償責(zé)任,賠償標(biāo)準(zhǔn)為自本協(xié)議簽署之日起每天人民幣元,自簽署之日起每天開始計算人民幣元is協(xié)議

第九條本協(xié)議一式六份,丙方、丁方、戊方各執(zhí)一份,并報有關(guān)部門備案一份,具有同等法律效力
