III.利潤分享和虧損分享
1。共同投資者應(yīng)當(dāng)按照其出資額占總出資額的比例分擔(dān)共同投資的損益。共同投資者應(yīng)以其總出資額為限,對擬成立的公司和正式成立后的公司承擔(dān)責(zé)任。共同投資者出資形成的股份及其孳息和利潤是共同投資者的共同財產(chǎn),按照出資比例由共同投資者共同所有。四、執(zhí)行事務(wù)。共同投資者執(zhí)行共同投資的日常事務(wù),包括但不限于:(1)在公司成立和設(shè)立階段行使和履行作為公司發(fā)起人的權(quán)利和義務(wù);(2) 公司成立后,作為公司股東行使權(quán)利,履行相應(yīng)義務(wù)。所有投資者有權(quán)檢查日常事務(wù)的執(zhí)行情況,負(fù)責(zé)具體經(jīng)營和財務(wù)的股東有義務(wù)向所有投資者披露共同投資的經(jīng)營和財務(wù)狀況(經(jīng)營和財務(wù)狀況為每季度一次)
3。共同投資設(shè)立的公司的收入屬于共同投資者,公司經(jīng)營產(chǎn)生的損失或民事責(zé)任由共同投資者承擔(dān)。如果在執(zhí)行事務(wù)過程中,由于投資者的疏忽或不遵守本協(xié)議而給共同投資者造成任何損失,則應(yīng)負(fù)責(zé)賠償,并根據(jù)協(xié)商對剩余投資者進(jìn)行賠償。聯(lián)合投資者可以對聯(lián)合投資事項(xiàng)提出異議。有異議的,暫停執(zhí)行。如有任何爭議,應(yīng)由共同投資者決定。共同投資的下列事項(xiàng)必須經(jīng)全體共同投資者同意:(1)轉(zhuǎn)讓共同投資的公司股份;(2)質(zhì)押和抵押上述股份;(3)變更執(zhí)行人;(4)因故退伙。只有在所有其他投資者有正當(dāng)理由同意的情況下,方可撤回;2、退股須提前一個月通知其他合伙人,并經(jīng)全體投資者批準(zhǔn)。退股后,應(yīng)根據(jù)退股時公司的財產(chǎn)狀況進(jìn)行結(jié)算。無論以何種方式出資,均應(yīng)以貨幣結(jié)算,并在3個月內(nèi)繳清。如有特殊情況,經(jīng)全體投資者同意后,方可按全體投資者同意的形式返還退出投資者;如果從本協(xié)議簽署之日算起,退出時間少于一年,則僅會返還退出投資者80%的資產(chǎn)(根據(jù)退出時公司的財產(chǎn)狀況)。如果各共同投資者未能履行其應(yīng)有的義務(wù),被動忽視公司的共同投資事務(wù),經(jīng)全體投資者共同表決后,可作為撤回(撤回)處理。返還退出投資者退出時的資產(chǎn)(與退出時公司的財產(chǎn)狀況成比例)
